Terms & Conditions for Signarama Wollongong Illawarra

1. Definitions
Seller Patt Dog Pty Ltd T/A Signarama Wollongong Illawarra - ABN 66 627 202 939
Buyer / Client Any person, company or entity purchasing Goods or Services from the Seller.
Goods All signage, graphics, materials, components or products supplied.
Services Design, manufacture, consultation, installation, removal, project management and related services.
Price The amount stated in a quotation, invoice or agreement.

2. Jurisdiction
These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the jurisdiction of the Courts of NSW.

3. Quotations
Quotations are valid for 30 days unless otherwise stated.
Quotes are based on information provided at the time of quoting.
If site conditions differ from those described or visible at the time of quoting, the Seller may adjust pricing accordingly.
The Seller reserves the right to withdraw or amend a quotation prior to acceptance.

4. Orders & Acceptance
Acceptance of a quotation, written confirmation, or payment of a deposit constitutes acceptance of these Terms and Conditions.
Any variation to an accepted order must be agreed in writing and may result in additional charges.

5. Deposits & Payment Terms
Unless otherwise agreed in writing:
•  Orders under $1,000 Require
100% payment prior to commencement.
•  Orders over $1,000 Require a minimum 50% deposit prior to commencement of artwork or production.
•  Final payment is due on or prior to installation or delivery, unless credit terms have been approved.
The Seller reserves the right to request deposits from all customers including those on account.
The Seller reserves the right to request progress payments from all customers including those on account..

6. Credit Accounts
Approved credit accounts must pay invoices within the terms stated on the invoice unless otherwise agreed.
Interest may be charged on overdue accounts as follows:
• 3% per month after 30 days

• 5% per month after 60 days
• 7.5% per month after 90 days
The Buyer agrees to pay all costs associated with recovery of overdue accounts including legal fees, collection agency costs and administrative charges.

6A. Zero Retention Policy

The Seller operates under a strictly zero retention policy.

No portion of any contract value, progress payment, final payment or completed works shall be withheld by the Buyer under any circumstances, including but not limited to retention for defects, performance security, or completion guarantees.

All invoices issued by the Seller must be paid in full in accordance with the agreed payment terms, without deduction, set-off, or retention of any kind.

Any attempt by the Buyer to impose or apply a retention amount, whether contractually or otherwise, shall be deemed invalid and not binding unless expressly agreed to in writing by the Seller prior to commencement of works.

7. Artwork Approval
Artwork proofs will be supplied for approval.
The Buyer is responsible for checking spelling, layout, colours and dimensions.
Once artwork has been approved, the Seller accepts no responsibility for errors.
Changes after approval may incur additional charges.
If artwork approval is not received within 30 days
, the Seller may cancel the order and retain the deposit to cover work completed.

8. Colour Variations
Due to differences between screens, printers, inks, materials and lighting conditions, colours may vary slightly from proofs or previous jobs.
Such variations are considered acceptable within the signage and printing industry.

9. Customer Supplied Measurements
Where measurements or specifications are supplied by the Buyer, the Seller accepts no responsibility for their accuracy.
Any alterations or remanufacture required due to incorrect measurements will be charged to the Buyer.

10. Installation Conditions
The Buyer must ensure safe and unrestricted site access, structural suitability and availability of required power supply.
Installation delays caused by site issues may incur additional charges.
Where delays are caused by the Buyer, including failure to approve artwork, obtain approvals, provide access or make required payments, the Seller may adjust project timelines and charge additional costs incurred.

11. Removal of Existing Signage
Removal of existing signage may reveal unknown conditions.
Removal times and potential damage cannot be predicted.
The Seller accepts no liability for any damage whatsoever
, including but not limited to damage to building surfaces, paintwork, cladding, substrates, fixings or surrounding structures arising during the removal of signage.
Surface repairs or rectification are not included unless stated in writing.

12. Storage Fees
If Goods are completed but delivery or installation is delayed by the Buyer, storage fees may apply.
Goods not collected within sixty (60) days
may be disposed of by the Seller to recover outstanding costs.

13. Delivery
Delivery times are estimates only.
The Seller will not be liable for delays caused by supplier shortages, transport delays, weather, subcontractors or events beyond reasonable control.

14. Government Approvals
Unless otherwise agreed in writing, the Buyer is responsible for obtaining all required:  council approvals, 
 building approvals,  landlord approvals,  planning permits
The Seller is not liable for signage that must be altered, modified or removed due to regulatory, council, landlord or compliance requirements.

15. Subcontractors
The Seller may engage subcontractors or specialist contractors to perform portions of the work including installation, electrical works, crane operation or fabrication.

16. Installation Risk & Site Conditions
The Buyer warrants that the installation site is suitable and structurally sound.
The Seller is not responsible for concealed services, asbestos, hidden structural defects or other unknown conditions discovered during installation.
The Seller accepts no liability for any damage whatsoever
, including structural, cosmetic or surface damage occurring during installation.

17. Crane, Lift & Access Equipment
Where cranes, elevated work platforms or specialised equipment are required, the Buyer must ensure suitable access is available at the scheduled installation time.
If installation cannot proceed due to restricted access, the Buyer will be responsible for equipment hire, standby charges and rebooking costs.

18. Landlord / Building Owner Approval
The Buyer is responsible for obtaining all landlord, property manager or body corporate approvals required for installation of signage.

19. Structural & Engineering Responsibility
The Seller does not warrant the structural integrity of buildings or mounting surfaces.
Any engineering certification required for signage installation will be the responsibility of the Buyer unless otherwise agreed.

20. Electrical Connection
Unless included in the quotation, electrical connection of illuminated signage must be completed by a licensed electrician engaged by the Buyer.

21. Vehicle Graphics Disclaimer
Vehicle graphics and wraps are applied to painted surfaces.
The Seller is not responsible for damage to paintwork caused by pre-existing paint defects, repainted panels, rust or poor paint adhesion.

22. Intellectual Property
All artwork, designs and concepts created by the Seller remain the intellectual property of the Seller unless otherwise agreed in writing.

23. PPSR Security Interest
The Buyer acknowledges that these Terms create a security interest under the Personal Property Securities Act 2009.
The Seller may register this interest on the Personal Property Securities Register (PPSR)
.

24. Warranty
The Seller warrants workmanship for 30 days from the date of installation.
This warranty does not cover damage caused by vandalism, weather events, structural movement, misuse, impact, neglect or normal wear and tear.
Where applicable, manufacturer warranties on materials, components or products may apply separately and will be passed on to the Buyer.
Nothing in this clause excludes, restricts or modifies rights the Buyer may have under the Australian Consumer Law
.

25. Cancellation
Orders may be cancelled only with written approval from the Seller.
The Buyer will be liable for all costs incurred including materials ordered and design work completed.
Deposits are non-refundable
.
If work has commenced, an additional cancellation fee of up to 25% of the order value
may apply.

26. Abandoned or Delayed Projects
If the Buyer fails to proceed with installation, delivery or completion of a project within ninety (90) days
of production completion, the Seller may treat the order as abandoned.
The Seller may dispose of the Goods and recover any outstanding costs or losses associated with the order.

27. Retention of Title
Ownership of all Goods remains with the Seller until full payment has been received.
The Seller reserves the right to recover Goods if payment is not made.

28. Limitation of Liability
To the maximum extent permitted by law, the Seller shall not be liable for indirect, consequential or economic loss including loss of profits, loss of business or loss of opportunity.
The Seller’s liability is limited to the value of the Goods or Services supplied.

29. Force Majeure
The Seller shall not be liable for delays caused by circumstances beyond its reasonable control including supplier shortages, transport disruption, weather events, equipment failure or government restrictions.

30. Marketing & Photography
The Seller reserves the right to photograph completed signage projects and use such images for marketing, portfolio or promotional purposes unless the Buyer requests otherwise in writing.

31. Privacy
The Buyer consents to the Seller collecting credit information in accordance with the Privacy Act 1988.

32. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies rights under the Australian Consumer Law
.

33. Entire Agreement
These Terms constitute the entire agreement between the Buyer and Seller and supersede all prior agreements.
